Being transparent is one of our most important values; we want to make sure your experience with us is in line with our purpose as a company. Hence, please find below the Terms of Service (“Terms”) which outline the rules that govern our relationship with you. Please take the time to read them carefully as they do form a legally binding contract between you and The Ethos Network Ltd.
These Terms will regulate your access and use of any website, products and services (collectively referred to as “Services”) by The Ethos Network (“ETHOS”, “we”). If you disagree with any part of these Terms, please do not use our Services. By using our Services, you agree to be bound by these Terms, by our Privacy Policy, and by our Cookie Policy. You also confirm to have read and agreed to our Community Guidelines.
To access our Services, we may ask you for certain details and other information about you that will be collected by ETHOS. This is collected by us so that we can provide the best service to you – that this information is completely secure is the most important aspect of our development. You agree that all the information you provide is yours, correct, current and complete. ETHOS’s use of this information can be found in our Privacy Policy, and you consent to all actions we take with respect to your information (always consistent with said Privacy Policy).
1.1 This Service is intended only for people 13 years of age (the “Minimum Age”) and above. By accepting these Terms, you confirm that you are at or above the Minimum Age, and that you have not been previously banned by ETHOS due to breach of our Terms and Policies. If you are between the ages of 13 and 17, you must have the consent of your parent or legal guardian to use the Services.
1.2 By using the Services, you agree that you can form a binding contract with ETHOS and that you are not a person barred from receiving public services under the laws of the applicable jurisdiction.
1.3 If you are using the Services on behalf of another business or entity, you confirm that you have the right to agree to these Terms on behalf of the business or entity and that you are entitled to grant all licenses that are set forth in these Terms. In this case, the words “you” and “your” used in these Terms shall refer to such entity.
2.1 Some of our Services allow for you to create, upload, receive, store and submit content (“User Submissions”). User Submissions must not infringe the rights of any third party (“Third Party”).
Therefore, you may not use the Services, nor enable a third party to use the Services, to:
2.1.1 enable bullying, harassment or intimidation of another user or a third party.2.1.2 spam or solicit another user or a third party.
2.1.3 defame or infringe a third party’s intellectual property rights in any way.
2.2 When you sign up to the Services, your profile will be set to be public. This means anyone can see what you post and whatever information you have chosen to display in your profile. If you would like to keep your content and profile private, you can do so such that only those who you give permission to may see information about the content you post and your profile. Your profile picture, if you choose to upload one, will be visible to everyone on the platform regardless of whether you are on private or not.
2.3 Other users can share a User Submission of yours on ETHOS to another platform outside of ETHOS. This would share the information about that User Submission and any activity (such as a comment) related to it onto another platform. If your profile is on private, other users will not be able to share your User Submission onto another platform unless you have accepted them and therefore have access to your content.
2.4 Comments and reactions are visible to everyone regardless of whether your account is on private. It’s worth noting that a user can share (e.g.: through a screenshot) your activity on the Services and hence you should think carefully about any messages or other activity you participate in on the Services.
2.5 User Submissions must also adhere to all Community Guidelines published by ETHOS and must respect ETHOS’s rights as per clause 4.
2.6 You may not use the Services nor the content on the Services in a way that is not strictly authorised by these Terms, and nor are you allowed to enable a Third Party to do so.
2.7 You agree to obey all applicable laws and regulations when you use the Services.
2.8 You agree to read and obey our Community Guidelines.
3.1 ETHOS grants you a personal, royalty free, non-assignable, non-exclusive and worldwide license for the sole purpose of using the Services in line with the Terms and its affiliate policy documents.
3.2 The Services are protected by copyright. ETHOS is free to use any feedback or suggestions provided by you as it sees fit and with no obligation to you.
3.3 Any software provided by ETHOS may automatically download upgrades or fixes and you may adjust this feature in their device’s settings.
3.4 The User may not copy, infringe, modify, lease, sell nor tamper with of any part of the Services nor its software unless they have the explicit written permission by ETHOS to do so.
3.5 This license will expire when you delete your account with ETHOS.
4.1. In creating a User Submission, you grant us a non-exclusive license to use that content. Whatever ownership rights you had over the content to begin with remain unchanged.
4.2. ETHOS will not be responsible for the action of any user or third party with respect to any User Submissions, information, materials or content posted, uploaded or transmitted within our Services.
4.3. ETHOS retains the right to remove, temporarily or permanently, any User Submission deemed to be against the Community Guidelines. For more information on what can and cannot be posted, please see our Community Guidelines.
4.4. In addition, ETHOS will moderate every User Submission with the aim of removing any that goes against our Community Guidelines. We do not prior check nor endorse any User Submissions; the sole responsibility for a User Submission lies with the user who posts it.
4.5. In the case that these Terms, or any of its affiliate policy outlines are broken, ETHOS reserves the right to change or delete any User Submission, as well as to limit the access that a user has to the Services.
4.6. ETHOS and its affiliates will attempt to provide and ensure that the information and content displayed and shared within our Services adheres to the Community Guidelines. However, ETHOS will not be responsible for any loss, theft or damage of any kind incurred as a result of a user breaching the Terms.
4.7. ETHOS reserves the right to make changes to and update any information in the Terms and its affiliate policy outlines without prior notice to you. We will immediately after notify our Users of any change to these. Any amendments will not be retroactive.
4.8. ETHOS does not endorse, support, represent nor guarantee the completeness of any of the content ETHOS, nor any User, posts on the Services. Nor do we endorse any opinions expressed via the Services. Any use or reliance on User Submissions in the Services will remain entirely at your own risk.
4.9. In consideration for us granting you the access to ETHOS’s Services, ETHOS reserves the right to use User Submissions for promotional purposes without any compensation to you that posted said User Submission. This right will not be exercised by ETHOS without the explicit written acceptance of you who owns and created said User Submission.
4.10. The license will expire when the User Submission is fully deleted from our systems.
5.1. Our Privacy Policy and Cookies Policy outline how ETHOS handles the information provided to us when you use our Services.
5.2. You understand that by using the Services you consent to the use of your information as set forth in the Privacy Policy and Cookies Policy.
6.1. If you use contents covered by intellectual property rights that we have and make available in our Services (for example, images, designs or videos that we provide, which you add to any User Submissions), we retain all rights to that content (but not yours). You can only use our copyrights or trademarks (or any similar marks) as expressly permitted by us or with our prior written permission. You must obtain our written permission (or permission under an open-source license) to modify, create derivative works of, decompile or otherwise attempt to extract source code from us.
7.1. The User’s access to and use of the Services is at their own risk. The User understands and agrees that the Services are provided on an “AS IS” and “AS AVAILABLE” basis.
ETHOS DISCLAIMS ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS OR IMPLIED, OF BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
Ethos will not be liable and disclaims all responsibility for harm of any form, including loss of data, that results from your use of the Services or its User Submissions. No communication from Ethos, whether oral or written, that isn’t made expressively clear in this clause will affect the warranty and representation presented herein.
7.2. Whilst ETHOS strives to provide a good Service for you, we cannot warrant or promise that;
7.2.1. the Services will always function without delays or imperfections
7.2.2. the Services will always be secure and error-free
7.2.3. any content obtained through the Services might be accurate, reliable, timely, secure or complete.
7.3 TO THE MAXIMUM EXTENT PERMITTED BY LAW, ETHOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
7.3.1 YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES;
7.3.2 ANY OF THE CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES ON OR THROUGH THE SERVICES;
7.3.3 UNAUTHORISED ACCESS, USE OR ALTERATION OF YOUR CONTENT, EVEN IF ETHOS HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES; OR
7.3.4 ANY LOSS OF DATA SUFFERED BY YOU.
8.1. ETHOS reserves the right to amend these Terms and will aim to notify the user of amendments within 30 days of the change. By continuing to use the Service after the revisions become effective, you agree to being bound by the new Terms.
8.2. You will not transfer any of your rights or obligations under these Terms to anyone else without our consent.
8.3. These Terms do not confer any third-party beneficiary rights. All of our rights and obligations under these Terms are freely assignable by us in connection with a merger, acquisition or sale of assets, or by operation of law or otherwise.
8.4. If one of the provisions in these Terms becomes unenforceable, then that provision will be eliminated or changed to the minimum extent necessary and the remaining provisions in the Terms will remain fully in force and effect.
8.5. A failure to enforce these Terms or any of its provisions by ETHOS will not be deemed a waiver of such a right or provision.
8.6. In the case that a dispute arises, you agree to contact ETHOS first and supply relevant information in order for ETHOS to evaluate the case and act on its relevant criteria. Any claims or disputes arising from these Terms or any of the affiliate policy documents (the “Privacy Policy”, “Cookie Policy” and/or the “Community Guidelines”) will be governed under the laws of England and Wales and resolved by a competent court in England and Wales without regard to conflict of law provisions.
8.7 ETHOS reserves the right to delete any manifestly illicit content which may be brought to our attention within the conditions required by law and/or which we judge to be in contravention of these Terms. This same shall apply in the case of a lawful order in a relevant jurisdiction.
8.8 You accept full responsibility for any action, content, information or data which you may upload, download, post, send, or keep within the scope of the use of the Services.
8.9 If you harm ETHOS through the content you post, you will be required to compensate ETHOS for any damages, losses or expense caused by your words or actions.
8.10 For reasons of security and public order, we may keep, for a reasonable period in compliance with applicable regulations or until the request of deletion provided by the user, a copy of content shared by the user, even where the user may have deleted their account or where said content may have been deleted from the Services.
